Stakeholder Relationship Committee
The Company’s Stakeholders Relationship Committee functions in accordance with the Companies Act, 2013 and SEBI (LODR) Regulations, ensuring strong governance and investor protection. The Committee oversees redressal of stakeholder grievances relating to share transfers, dividends, annual reports, and other investor services. It ensures timely resolution of complaints and monitors the effectiveness of the investor service mechanism. By maintaining transparent communication and efficient grievance handling, the Committee strengthens investor confidence and trust. Its role is crucial in safeguarding stakeholder interests, enhancing corporate reputation, and ensuring compliance with regulatory requirements while supporting long-term value creation for the Company.
Composition and Independence
The Nomination and Remuneration Committee is composed of qualified, independent members with significant expertise. For the financial year ended March 31, 2025, the committee includes Kishanlal Bothra, Lubdha Porwal, and Aditya Kumar Saran. Mr. Aditya Kumar Saran serves as the Chairperson.

Redressal of Investor Grievances:
The Committee reviews and ensures prompt resolution of complaints relating to transfer/transmission of shares, non-receipt of dividends, annual reports, dematerialization, and other investor services. It monitors the effectiveness of the grievance redressal mechanism.
Monitoring Share Transfer and Related Processes:
The Committee oversees and approves share transfers, transmissions, issue of duplicate share certificates, and other related matters, ensuring compliance with statutory requirements and timely processing.
Investor Communication and Services:
The Committee ensures efficient and transparent communication with investors, addressing queries and providing necessary information. It reviews the performance of the Registrar and Share Transfer Agent (RTA) and other service providers.
Compliance and Regulatory Oversight:
The Committee ensures compliance with SEBI regulations and other applicable laws relating to investor services and protection. It periodically reviews reports on investor complaints and their resolution status.

The Committee evaluates systems and processes to improve investor services and strengthen stakeholder confidence through efficient service delivery and transparency.
